Terms of Service

LedgerLou is an AI assistant (“Lou”) that connects to your QuickBooks Online account to help you read, organize, and maintain your books through a chat interface. Lou proposes changes to your books; it does not apply any change to QuickBooks until you approve it.

You must be at least 18 years old and able to form a binding contract. You are responsible for the accuracy of your account information, for keeping your credentials confidential, and for all activity under your account. The Service is offered as an early-access product and may change, be limited, or be discontinued.

To use the Service you authorize LedgerLou to access your QuickBooks Online data via Intuit’s API. You represent that you are authorized to connect each company you link and to permit us to access and modify its data on your behalf. You can disconnect at any time from within the Service or from QuickBooks Online. LedgerLou is independent and is not affiliated with, sponsored by, or endorsed by Intuit Inc.

Every change Lou proposes is held for your review and is written to QuickBooks only after you approve it. You are responsible for reviewing proposed changes before approving them and for the accuracy and compliance of your books and tax filings. Lou is a tool to assist a competent operator — it is not a replacement for a professional accountant, bookkeeper, auditor, or tax advisor, and we do not provide accounting, tax, legal, or financial advice.

You agree not to:

• use the Service in violation of any law or third-party rights, including Intuit’s terms;
• access data you are not authorized to access;
• reverse engineer, scrape, or attempt to disrupt or gain unauthorized access to the Service;
• resell or provide the Service to third parties except as expressly permitted; or
• use the Service to develop a competing product.

Paid plans consist of a recurring base subscription that includes a usage-credit allowance, plus optional prepaid credits for usage beyond the allowance. Fees, currencies, and applicable taxes are shown at checkout. Subscriptions renew automatically until cancelled. Except where required by law, fees are non-refundable and prepaid credits are non-refundable and may expire. We may change pricing on prospective notice.

Lou is powered by third-party AI models and produces output based on your data and instructions. AI output can be incomplete or incorrect. You should independently verify Lou’s proposals before approving them. We do not warrant that AI output is accurate, complete, or fit for any particular purpose.

We and our licensors own the Service and all related software, trademarks, and content. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service per these Terms. You retain all rights to your data; you grant us a limited license to process it solely to provide and improve the Service as described in our Privacy Policy.

Your use of the Service is also governed by our Privacy Policy, which explains how we handle your information, including your QuickBooks data.

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEPERIAN AND ITS SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, OR GOODWILL. OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF THE AMOUNTS YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM OR CAD $100.

You will indemnify and hold harmless Neperian from claims, damages, and expenses arising out of your use of the Service, your data, or your breach of these Terms, except to the extent caused by our gross negligence or wilful misconduct.

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you breach these Terms or if we discontinue the Service. On termination, your right to use the Service ends and we will handle your data as described in the Privacy Policy.

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable there, without regard to conflict-of- law rules. The courts located in Ontario will have exclusive jurisdiction, and you consent to their venue, except where applicable law gives you the right to bring a claim elsewhere.

We may update these Terms from time to time. When changes are material we will update the “Last updated” date and, where appropriate, notify you. Your continued use of the Service after an update means you accept the revised Terms.
